Only a natural person (individual) who is an Indian citizen and resident (stayed in India 182+ days in the previous year) can register an OPC. NRIs and foreign nationals cannot register OPCs. A person cannot be the member of more than one OPC at a time.
Every OPC must have a nominee — an Indian citizen and resident who will take over the OPC if the sole member becomes incapacitated or dies. The nominee must provide written consent in Form INC-3. The nominee has no role in day-to-day management — only a contingency purpose.
An OPC must mandatorily convert to a Private Limited Company if its paid-up share capital exceeds ₹50 lakh OR its average annual turnover during the immediately preceding three consecutive financial years exceeds ₹2 crore. Voluntary conversion is also allowed after 2 years from incorporation.
Yes. Unlike LLPs, an OPC must undergo a statutory audit every year — regardless of turnover. The financial statements must be audited by a Chartered Accountant before filing with MCA. This is one of the key compliance differences between an OPC and an LLP.
An OPC cannot issue shares to more than one person — so it cannot raise equity funding from angels or VCs while remaining an OPC. However, it can take on debt (bank loans, NBFCs). If funding is on the roadmap, we advise planning an early conversion to Pvt Ltd before approaching investors.
OPC must file Form AOC-4 (financial statements) and Form MGT-7A (annual return), conduct a board meeting at least once in each half of the calendar year, maintain statutory audit, file Director KYC (DIR-3), and file the income tax return. We provide a full compliance calendar post-registration.
